Public Offer Agreement

This Agreement is an official and public offer by the Seller to conclude a contract for the sale of Goods presented on the website heats.in.ua. This Agreement is public, meaning that, in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, or sole proprietor), without giving preference to one buyer over another. By entering into this Agreement, the Buyer fully accepts the terms and procedures for placing an order, payment for Goods, delivery of Goods, return of Goods, liability for dishonest orders, and all other terms of the Agreement. The Agreement is considered concluded from the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives an electronic confirmation of the order from the Seller.
1. Definitions
1.1. Public Offer (hereinafter referred to as the “Offer”) – a public proposal by the Seller, addressed to an indefinite number of persons, to enter into a distance sale contract (hereinafter referred to as the “Agreement”) with the Seller under the terms specified in this Offer.
1.2. Goods or Services – the subject of the transaction between the Parties, which has been selected by the Buyer on the Online Store website, placed in the shopping cart, or already purchased by the Buyer remotely from the Seller.
1.3. Online Store – the Seller’s website located at www.heats.in.ua, created for the conclusion of retail and wholesale purchase and sale agreements based on the Buyer’s acquaintance with the Seller’s offered descriptions of Goods via the Internet.
1.4. Buyer – a legally capable individual who has reached the age of 18, receives information from the Seller, places an order to purchase the Goods offered on the Online Store website for purposes not related to business activities, or a legal entity or sole proprietor.
1.5. Seller – Private Entrepreneur Inesa Volodymyrivna Popruzhenko, Tax ID Code 3101406209, operating under the laws of Ukraine, located at: 8/91 Kropyvnytskoho St., Kropyvnytskyi, Ukraine.

2. Subject of the Agreement
2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
2.2. The date of conclusion of this Offer Agreement (acceptance of the Offer) and the moment of full and unconditional acceptance of the terms by the Buyer shall be the date the Buyer completes the order form on the Online Store website, provided the Buyer receives an electronic order confirmation from the Seller. If necessary, at the request of the Buyer, the Agreement may be formalized in writing.

3. Order Placement
3.1. The Buyer places an order independently in the Online Store through the “Cart” form, or by placing an order via email or phone number provided in the “Contacts” section of the Online Store.
3.2. The Seller reserves the right to refuse to fulfill an order if the information provided by the Buyer during order placement is incomplete or raises doubts about its validity.
3.3. When placing an order on the Online Store website, the Buyer is obliged to provide the following required information necessary for the Seller to process the order:
3.3.1. Buyer’s full name;3.3.2. Delivery address (if delivery is to the Buyer’s address);3.3.3. Contact phone number;3.3.4. Identification code for a legal entity or sole proprietor.
3.4. The name, quantity, item number, and price of the Goods selected by the Buyer are indicated in the Buyer’s shopping cart on the Online Store website.
3.5. If either Party requires additional information, it has the right to request it from the other Party. If the Buyer fails to provide the necessary information, the Seller is not responsible for providing proper service when purchasing Goods from the Online Store.
3.6. When placing an order through the Seller’s operator (clause 3.1 of this Offer), the Buyer is obliged to provide the information specified in clauses 3.3–3.4 of this Offer.
3.6. The Buyer accepts the terms of this Offer by entering the relevant data in the registration form on the Online Store website or when placing an Order through the operator. After placing the Order via the operator, the Buyer’s data is added to the Seller’s database.
3.7. The Buyer is responsible for the accuracy of the information provided when placing the Order.
3.8. By concluding the Agreement, i.e. by accepting the terms of this Offer (the proposed terms of purchasing the Goods) by placing an Order, the Buyer confirms the following:a) The Buyer is fully acquainted with and agrees to the terms of this Offer;b) The Buyer consents to the collection, processing, and transfer of personal data. This consent remains valid for the entire duration of the Agreement and for an indefinite period after its termination. Additionally, by concluding the Agreement, the Buyer confirms that they have been informed (without additional notification) of the rights established by the Law of Ukraine “On Personal Data Protection,” the purpose of data collection, and that their personal data is transferred to the Seller for the purpose of fulfilling this Agreement, enabling settlements, and receiving invoices, acts, and other documents. The Buyer also agrees that the Seller may provide access to or transfer their personal data to third parties without additional notice to the Buyer for the purpose of fulfilling the Buyer’s order. The Buyer understands and is aware of their rights as a data subject under the Law of Ukraine “On Personal Data Protection.”

4. Price and Delivery of Goods
4.1. Prices for Goods and Services are determined independently by the Seller and are indicated on the Online Store website. All prices for Goods and Services on the website are in Ukrainian Hryvnia (UAH) and include VAT.
4.2. The Seller may change the prices for Goods and Services unilaterally depending on market conditions. However, the price of a specific unit of Goods, fully paid by the Buyer, cannot be changed unilaterally by the Seller.
4.3. The price of the Goods indicated on the Online Store website does not include the delivery cost. The Buyer pays the delivery cost according to the current rates of the selected delivery service (carrier) directly to that service.
4.4. The price of the Goods indicated on the Online Store website does not include the cost of delivery to the Buyer's address.
4.5. The Seller may provide an estimated delivery cost upon request from the Buyer, either via email or during order placement through the store’s operator.
4.6. The Buyer’s payment obligations are considered fulfilled when the funds are credited to the Seller’s account.
4.7. Payments between the Seller and the Buyer for the Goods shall be made using the methods specified on the Online Store website in the "Payment and Delivery" section.
4.8. Upon receipt of the Goods, the Buyer must, in the presence of the courier (carrier), verify the conformity of the Goods in terms of quality and quantity (product name, quantity, completeness, expiration date).
4.9. The Buyer or their representative confirms by signing the sales receipt, order form, or shipping invoice that there are no claims regarding the quantity, appearance, or completeness of the Goods.
4.10. Ownership and risk of accidental loss or damage to the Goods pass to the Buyer or their representative upon receipt of the Goods at the place of delivery (if picked up directly from the Seller) or upon transfer of the Goods by the Seller to the Buyer’s selected delivery service (carrier).

5. Rights and Obligations of the Parties
5.1. The Seller shall:5.1.1. Deliver the Goods to the Buyer in accordance with the terms of this Agreement and the Buyer's order.5.1.2. Not disclose any private information about the Buyer or provide access to such information to third parties, except as required by law or for the fulfillment of the Buyer’s order.
5.2. The Seller has the right to:5.2.1. Change the terms of this Agreement and the prices for Goods and Services unilaterally by publishing the changes on the Online Store website. All changes take effect upon publication.
5.3. The Buyer shall:5.3.1. Familiarize themselves with the contents and terms of this Agreement and the prices offered on the Online Store website before concluding the Agreement.5.3.2. Provide all necessary information required to clearly identify the Buyer and ensure the delivery of the ordered Goods.

6. Return of Goods
6.1. The Buyer has the right to return non-food Goods of proper quality to the Seller if the Goods do not meet the Buyer's expectations regarding form, size, style, color, or other characteristics and therefore cannot be used as intended. The return must be made within 14 (fourteen) days from the date of purchase, not including the day of purchase. The Goods may be returned only if they were not used and their marketable condition, consumer properties, packaging, seals, labels, and payment documents are preserved. The list of Goods not subject to return is established by the Cabinet of Ministers of Ukraine.
6.2. Refunds for Goods of proper quality shall be made within 30 (thirty) calendar days from the date the Seller receives the returned Goods, provided the conditions of clause 6.1 and applicable Ukrainian law are met.
6.3. The cost of returned Goods shall be refunded via bank transfer to the Buyer's account.
6.4. The cost of returning Goods of proper quality to the Seller's address shall be borne by the Buyer and is not reimbursed by the Seller.
6.5. If defects are discovered during the warranty period, the Buyer has the right to make claims to the Seller as specified by the Law of Ukraine “On Consumer Protection.” The time period for defect correction starts from the date the Seller physically receives the Goods.
6.6. The Seller will consider claims under the Law of Ukraine “On Consumer Protection” only if the Buyer provides all documents required by applicable law. The Seller is not responsible for defects that appear after delivery due to the Buyer's misuse, storage violations, actions of third parties, or force majeure.
6.7. The Buyer has no right to return Goods of proper quality that have individually determined properties, which can be used exclusively by the Buyer who ordered them (including custom dimensions, specifications, appearance, configuration, etc.). The individual nature of the Goods is confirmed by deviations in size or other characteristics stated in the Online Store.
6.8. Returns, where allowed by law or this Agreement, shall be made to the address indicated in the "Contacts" section of the website.

7. Liability
7.1. The Seller is not liable for any damage caused to the Buyer or third parties as a result of improper installation, use, or storage of the Goods purchased from the Seller.
7.2. The Seller is not liable for improper or delayed fulfillment of orders or obligations resulting from the Buyer providing false or incorrect information.
7.3. Both the Seller and the Buyer are liable for fulfilling their obligations in accordance with the laws of Ukraine and this Agreement.
7.4. The Seller or Buyer is released from liability for full or partial failure to fulfill obligations due to force majeure events, such as war, military action, earthquakes, floods, fires, or other natural disasters beyond their control after signing the Agreement. The Party unable to fulfill its obligations must immediately notify the other Party.

8. Confidentiality and Protection of Personal Data
8.1. By providing their personal data on the Online Store website during registration or when placing an Order, the Buyer gives voluntary consent to the Seller for the processing, use (including transfer), and other actions with such data in accordance with the Law of Ukraine “On Personal Data Protection,” without time limitation.
8.2. The Seller agrees not to disclose information received from the Buyer. It is not considered a violation if the Seller provides such information to contractors and third parties acting under agreements with the Seller, including to fulfill obligations to the Buyer, or when disclosure is required by Ukrainian law.
8.3. The Buyer is responsible for maintaining their personal data up to date. The Seller is not liable for poor performance or failure to fulfill obligations due to outdated or incorrect Buyer information.

9. Other Terms
9.1. This Agreement is concluded within the territory of Ukraine and is governed by the current legislation of Ukraine.
9.2. All disputes arising between the Buyer and the Seller shall be resolved through negotiations. If no agreement is reached, either Party may refer the matter to the courts in accordance with Ukrainian law.
9.3. The Seller has the right to amend this Agreement unilaterally as provided in clause 5.2.1. Changes may also be made by mutual consent of the Parties in accordance with Ukrainian legislation.
